Terms of Service

1. Provider and agreement

Novus Formations is a service and trading name used by Aktyvus Group Limited, company number 16872083, registered in England and Wales. These Terms form the agreement between you and Aktyvus Group Limited when you place an order or use a paid Novus service.

2. Service scope

Novus provides administrative and operational support for company formation and related company services. Novus is not a law firm, tax adviser, accountant, immigration adviser, bank, payment provider, government authority, or registered agent unless expressly stated in an order. Information on the website and in a consultation is general and does not replace professional advice.

3. Your responsibilities

You must be legally able to enter this agreement, provide complete and accurate information, act for a lawful purpose, review documents before approval, meet requested deadlines, keep contact information current, and obtain professional advice where needed. You must not use the service for fraud, sanctions evasion, money laundering, misrepresentation, prohibited goods or services, or any unlawful activity.

4. Packages, prices, and versions

The package name, version, inclusions, exclusions, currency, and price shown at final review form part of your order. Prices are in Egyptian pounds unless expressly stated otherwise. A later package edit does not change an existing order. Additional work outside the purchased package requires a separate agreement or charge.

5. Payment and verification

Current payments are submitted through InstaPay and verified manually. Clicking “I paid” does not itself prove payment. Work starts only after Novus confirms payment and any required eligibility review. We may request a payment address or replacement proof and may reject evidence that cannot be matched to the expected amount.

6. Third parties and filings

Formation may require government offices, registered agents, filing providers, banks, tax authorities, couriers, or other third parties. Their availability, processing time, rules, decisions, and fees are outside our control. Novus does not guarantee filing acceptance, processing time, EIN issuance, banking, payment-platform approval, or any commercial result.

7. Timelines

Any timeline is an estimate. Delays may result from customer information, compliance checks, authorities, registered agents, service providers, holidays, outages, or events outside reasonable control.

8. Refunds

The current Refund Policy forms part of these Terms. A refund may be requested before Novus submits any filing or commits any government, registered-agent, filing-provider, or other third-party payment. Once any such commitment occurs, the entire order becomes non-refundable, subject to rights that cannot legally be excluded.

9. Suspension and termination

We may pause or terminate work where information is missing or misleading, payment cannot be verified, compliance concerns arise, continued work would be unlawful, or these Terms are materially breached. You remain responsible for costs already committed.

10. Intellectual property

The website, Novus brand materials, software, and original content belong to Aktyvus Group Limited or its licensors. Documents created specifically for your company may be used for that company after payment, subject to third-party rights and legal restrictions.

11. Liability

Nothing excludes liability that cannot legally be excluded. Subject to that, Novus is not responsible for indirect or consequential loss, lost profit, lost opportunity, third-party refusal, or loss caused by inaccurate customer information. Our aggregate liability arising from an order will not exceed the service fees paid to Novus for that order, excluding government and third-party fees.

12. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply to you. Please contact info@novusformations.us first so we can try to resolve a complaint.
